Nikki Semanchik is a Senior Associate and chairs For Purpose Law Group’s Estate Planning practice area, and co-chairs the firm’s Business and Corporate practice area. Ms. Semanchik graduated from the University of Arizona with a Bachelor of Arts degree in English Literature in 2006, and obtained her Juris Doctor from California Western School of Law in 2011.
Ms. Semanchik’s focus includes assisting clients with the estate planning and probate process. Ms. Semanchik understands that while many people take the time to plan for the future of their business, they may put off completing an estate plan. Ms. Semanchik strongly believes that having a proper estate plan in place can give an individual peace of mind knowing that their assets, family and desires will be taken care of in the event of their death of incapacity. Ms. Semanchik takes the time to get to know her clients in order to understand their needs and objectives before guiding them through the estate planning process. Building upon a relationship of trust and understanding, her clients feel comfortable discussing their family and finances. Ms. Semanchik has experience drafting wills, revocable living trusts, durable power of attorneys and health care directives. For families with substantial assets, Ms. Semanchik can also provide sophisticated estate planning techniques, which will assist in avoiding estate tax liability and help protect family wealth for future generations.
Ms. Semanchik represents a number of for profit businesses including corporations, limited liability companies, benefit corporations and social purpose corporations. In addition to the formation of these entities, Ms. Semanchik is able to draft and review bylaws, shareholders agreements, operating agreements, stock option agreements and buy-sell agreements, As the intersect between nonprofit organizations and for profits entities becomes more common, Ms. Semanchik is able to utilize her experience with for profit entities to provide valuable insight to her nonprofit clients.
In addition to representing her estate planning and corporate clients, Ms. Semanchik represents a wide variety of public charities, private foundations, and other nonprofit organizations, including museums, religious and faith-based organizations, social welfare organizations, sports-based organizations, business leagues, educational institutions and social clubs. Ms. Semanchik serves as outside general counsel for nonprofit organizations and is able to assist her clients with governance issues including nonprofit compliance, bylaw reviews and analysis of tax issues facing nonprofit organization. She can also assist with transactional matters including drafting and negotiating contracts such as asset purchase agreements, service agreements, licensing agreements, and leases. Ms. Semanchik frequently advises her clients on employment matters in order to mitigate risk and ensure legal compliance. Ms. Semanchik also assists clients with the welfare exemption process allowing her clients to obtain property tax exemption. Ms. Semanchik frequently attends board meetings on behalf of her clients in order to assist with governance matters and advise on fiduciary duty and nonprofit compliance. Ms. Semanchik is also able to complete the trademark registration process and advise her clients with matters pertaining to intellectual property purchase, sale and licensing.
